Attorney will primarily provide legal support for technology, marketing, commercial contracting, and privacy program initiatives. This role involves reviewing and negotiating contracts to assist the marketing, loyalty, analytics, IT, and operations teams. This is a remote/hybrid role with 1-2 days/week onsite in Columbus, OH, and is a long-term contract position.

Attorney Responsibilities:
  • Assist in drafting and maintaining contract templates and playbooks.
  • Draft, review, and negotiate marketing and demand generation service contracts, training and event agreements, commercial email campaigns, surveys, contest and sweepstakes rules, influencer contracts, participation releases, and sponsorship deals.
  • Draft, review, and negotiate master services agreements, master SaaS agreements, software licenses, website hosting contracts, data sharing agreements, IT and general commercial contracts, and, when relevant, the privacy and data security provisions that apply to these agreements.
  • Provide legal guidance to business teams on issues related to the development and delivery of managed cloud services, IT security, marketing/AdTech, and consulting services.
  • Collaborate with internal stakeholders to understand the product or service the business seeks to purchase, and assess any potential impacts on existing systems or processes.
  • Perform other duties and projects as assigned.

Attorney Requirements:
  • Juris Doctor (JD) degree and active membership in at least one state bar in good standing.
  • 2-5 years of experience as a transactional attorney is required.
  • Ability to work in a hybrid/remote setup, with 1-2 days per week on-site in Columbus, OH.
  • Preferred: 3+ years of significant experience negotiating technology and marketing/AdTech contracts, with at least 1 year of in-house experience as an attorney.
  • Experience negotiating privacy-related contract provisions (DPAs, information security terms, SCCs, etc.) to ensure the collection, use, and sharing of personal data complies with relevant regulatory requirements.
  • Strong relationship-building and collaboration skills, with the ability to effectively influence, negotiate, and communicate with both internal and external stakeholders.
  • Demonstrated ability to successfully juggle multiple tasks, adapt to shifting business priorities, and provide pragmatic, risk-based advice, including proactively identifying recurring issues and proposing solutions.
  • Proven track record of working independently, managing time effectively, and delivering quality work with minimal supervision.
  • Strong problem-solving abilities, with a focus on resolving legal and business challenges efficiently.
